1. Acceptance of Terms

Welcome to Feidy AI ("Feidy AI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at feidy.ai, our applications, and all related services (collectively, the "Services").

By creating an account, subscribing to a plan, or otherwise accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use our Services.

We may update these Terms from time to time. Your continued use of the Services after any changes take effect constitutes your acceptance of the revised Terms. Please review these Terms periodically.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 16 years of age (or the minimum age required in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

2.2 Account Creation

To access certain features of the Services, you must create an account. When you register, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Maintain the confidentiality of your login credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately if you suspect unauthorized access to your account

You may not create an account on behalf of another person without their permission, share your account credentials with others, or maintain more than one account without our written consent.

3. Description of Services

Feidy AI provides AI-powered digital tools designed to help individuals live better, stay balanced, and improve everyday life. Our Services may include, but are not limited to:

• AI-powered recommendations, insights, and personalized suggestions
• Interactive tools and features for personal productivity and well-being
• Subscription-based access to premium features and capabilities
• Content, data, and other materials generated or curated through our platform

We are continually improving and evolving our Services. We reserve the right to modify, update, add, or discontinue any feature or functionality at any time, with or without prior notice. We will make reasonable efforts to notify you of material changes that may affect your use of the Services.

4. Subscription Plans, Billing, and Payment

4.1 Subscription Plans

Our Services are offered on a subscription basis. Details of available plans, features, and pricing are described on our website and may change from time to time. We will notify you of any pricing changes before they take effect on your next billing cycle.

4.2 Billing and Payment

All payments are processed through Stripe or a similar PCI-compliant third-party payment processor. By subscribing to a paid plan, you authorize us to charge the payment method you provide for the applicable subscription fees. You are responsible for keeping your payment information current.

• Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select)
• All fees are quoted and charged in the currency specified at the time of purchase
• You are responsible for any applicable taxes associated with your subscription

4.3 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. The renewal charge will be at the then-current rate for your plan. We will make reasonable efforts to notify you in advance of any price increases before your next renewal.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not be charged for subsequent billing periods
• You will retain access to paid features until the end of the period you have already paid for
• Your account and any saved data will remain accessible, subject to our data retention practices described in our Privacy Policy

4.5 Refunds

Subscription fees are generally non-refundable. However, we may issue refunds at our discretion in the following circumstances:

• You were charged in error due to a technical issue
• You cancel within 48 hours of your initial subscription or a renewal and have not substantially used the Services during that period
• Other circumstances where we determine a refund is appropriate

To request a refund, please contact us at the address provided in Section 17. Refund requests are evaluated on a case-by-case basis.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services to violate any applicable local, provincial, state, national, or international law or regulation
• Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of any part of the Services
• Copy, modify, distribute, sell, lease, or sublicense any part of the Services without our prior written consent
• Use automated tools, bots, scrapers, or other means to access, collect data from, or interact with the Services, except through interfaces we explicitly provide
• Transmit any malware, viruses, or other harmful code through the Services
• Use the Services to harass, abuse, threaten, or harm others, or to generate content that is unlawful, defamatory, obscene, or otherwise objectionable
• Interfere with or disrupt the integrity, performance, or availability of the Services or their underlying infrastructure
• Misrepresent your identity, impersonate another person, or create accounts under false pretenses
• Use the Services to build a competing product or service, or to benchmark our Services for competitive purposes
• Circumvent, disable, or otherwise interfere with any security, access control, or usage-limiting features of the Services

We reserve the right to investigate and take appropriate action against any suspected violations, including suspending or terminating your account and reporting activity to law enforcement where warranted.

6. AI-Specific Terms

Our Services use artificial intelligence to generate recommendations, insights, and other outputs. By using these features, you acknowledge and agree to the following:

6.1 AI-Generated Outputs

All content, recommendations, insights, and other outputs generated by our AI features (collectively, "AI Outputs") are provided on an "as-is" basis. AI Outputs are generated algorithmically and may not always be accurate, complete, current, or appropriate for your specific circumstances.

6.2 No Guarantee of Accuracy

We do not warrant or guarantee the accuracy, reliability, completeness, or usefulness of any AI Output. AI technology is inherently probabilistic, and results may vary. AI Outputs should not be relied upon as the sole basis for decisions that could significantly affect your health, finances, legal rights, or safety.

6.3 User Responsibility

You are solely responsible for how you interpret, evaluate, and act upon any AI Output. You should exercise your own judgment and, where appropriate, seek qualified professional advice before acting on AI-generated content. Feidy AI is not liable for any actions you take or decisions you make based on AI Outputs.

6.4 AI Improvements

We continuously work to improve the quality and accuracy of our AI features. The nature of AI Outputs may change over time as we update and refine our models and algorithms. We may use aggregated, de-identified usage data to improve our AI systems, as described in our Privacy Policy.

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all software, algorithms, models, designs, text, graphics, logos, icons, images, and other content provided by Feidy AI, are owned by or licensed to Feidy AI and are protected by Canadian and international copyright, trademark, patent, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Services or our intellectual property, except for the limited right to use the Services as expressly permitted under these Terms.

7.2 Your Intellectual Property

You retain ownership of all content, data, and materials that you submit, upload, or input into the Services ("User Inputs"). We do not claim ownership of your User Inputs.

7.3 License to Operate the Service

By submitting User Inputs to the Services, you grant Feidy AI a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Inputs solely as necessary to provide, maintain, and improve the Services for you. This license terminates when you delete your content or your account, except where retention is required by law or our legitimate business needs (such as security logs or billing records).

8. User Content

You are solely responsible for any content you create, submit, post, or display through the Services ("User Content"). You represent and warrant that:

• You own or have the necessary rights and permissions to use and share your User Content
• Your User Content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, or any other rights of any third party
• Your User Content complies with these Terms and all applicable laws

We do not monitor, endorse, or assume responsibility for User Content. However, we reserve the right to remove or disable access to any User Content that we reasonably believe violates these Terms, applicable law, or the rights of others.

9. Account Suspension and Termination

9.1 Suspension

We may suspend your access to the Services, in whole or in part, immediately and without prior notice if:

• We reasonably believe you have violated these Terms or our Acceptable Use policies
• Your account is being used for fraudulent, illegal, or unauthorized activities
• Suspension is necessary to protect the security or integrity of the Services, our users, or our systems
• We are required to do so by law or a valid legal process
• Your payment method fails and the issue is not resolved within a reasonable period

Where practicable, we will notify you of the reason for suspension and provide an opportunity to address the issue.

9.2 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will cease immediately, subject to any remaining paid subscription period.

9.3 Termination by Us

We may terminate your account and access to the Services at any time for any reason, including but not limited to repeated or material violations of these Terms. We will make reasonable efforts to provide you with notice before termination, except where immediate termination is necessary to protect the Services or comply with legal obligations.

9.4 Effect of Termination

Upon termination of your account:

• Your right to access and use the Services will end immediately
• We may delete your account data in accordance with our Privacy Policy
• Any provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 7, 10, 11, 12, and 14
• You may request a copy of your data prior to deletion, subject to applicable law

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, Feidy AI disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• Warranties regarding the accuracy, reliability, or completeness of any content, including AI-generated outputs
• Warranties arising from course of dealing, usage, or trade practice

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Feidy AI, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute goods or services
• Personal injury or property damage arising from your use of the Services
• Any unauthorized access to or alteration of your data or transmissions
• Any damages arising from reliance on AI-generated outputs

In no event shall Feidy AI's total aggregate liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (a) the amounts you have paid to Feidy AI in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

These limitations apply regardless of the theory of liability (whether contract, tort, negligence, strict liability, or otherwise), even if Feidy AI has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Feidy AI, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Services or any activity under your account
• Your violation of these Terms or any applicable law or regulation
• Your User Content or User Inputs
• Your infringement of any third-party rights, including intellectual property, privacy, or proprietary rights
• Any claim that your use of the Services caused damage to a third party

We will make reasonable efforts to notify you of any claim subject to indemnification and will cooperate with your defense at your expense. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification at our own expense.

13. Third-Party Services

The Services may integrate with, link to, or rely on third-party products, services, or content ("Third-Party Services"). These include, but are not limited to, payment processors, authentication providers, cloud infrastructure services, and analytics platforms.

Your use of Third-Party Services is subject to their respective terms and privacy policies. Feidy AI does not control and is not responsible for the availability, accuracy, content, or practices of Third-Party Services. The inclusion of any link or integration does not imply endorsement by Feidy AI.

We are not liable for any loss or damage arising from your interactions with Third-Party Services. We encourage you to review the terms and privacy policies of any Third-Party Service before using it in connection with our Services.

14. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding relating to these Terms or the Services shall be brought exclusively in the courts located in Toronto, Ontario, Canada. You consent to the personal jurisdiction of such courts and waive any objection to the venue of such proceedings.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally. Most concerns can be resolved through open communication. Please reach out using the contact information in Section 17, and we will work with you in good faith to find a resolution.

15.2 Mediation

If we are unable to resolve a dispute informally within thirty (30) days, either party may propose mediation through a mutually agreed-upon mediator. The costs of mediation shall be shared equally between the parties, unless otherwise agreed.

15.3 Binding Arbitration

If mediation does not resolve the dispute, either party may submit the dispute to binding arbitration in accordance with the arbitration rules in effect in the Province of Ontario. The arbitration shall take place in Toronto, Ontario, and be conducted in English. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or other irreparable harm. Claims eligible for small claims court may also be brought in such court.

15.5 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceeding will be conducted on an individual basis and not as part of a class, consolidated, or representative action. If this waiver is found to be unenforceable in your jurisdiction, then the entirety of this arbitration provision shall be deemed void with respect to you.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Effective Date" at the top of this page
• Post the revised Terms on our website
• Notify you by email or through a prominent notice within the Services at least thirty (30) days before the changes take effect, where appropriate

Changes that are non-material (such as clarifications or minor formatting updates) may take effect immediately upon posting. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Services and cancel your subscription.
